These Terms of Service ("Terms") govern your access to and use of the website at galvyn.com, the Galvyn platform at b.galvyn.com, and any related products and services (collectively, the "Services") operated by Galvyn, LLC ("Galvyn", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

The Services

Galvyn provides software that helps businesses build, deploy, and operate AI agents across customer-communication channels, including messaging platforms such as WhatsApp Business. Specific features, pricing, and limitations may be described in separate order forms, product documentation, or in-product disclosures, which are incorporated into these Terms by reference.

Accounts

Some features require an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Acceptable Use

You agree not to:

• Use the Services in violation of applicable laws or regulations;
• Send unsolicited, deceptive, or unlawful messages, or otherwise violate the policies of integrated messaging platforms (including the WhatsApp Business Messaging Policy and Meta's Commerce and Business Policies);
• Infringe the intellectual property, privacy, or other rights of any third party;
• Interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access to them;
• Use the Services to generate harmful, harassing, fraudulent, or misleading content.

Intellectual Property

The Services, including all software, text, graphics, and trademarks, are owned by Galvyn or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You retain ownership of content you submit to the Services and grant us a limited license to host and process that content as needed to operate the Services.

Third-Party Services

The Services may interact with third-party platforms (for example, Meta's WhatsApp Business Platform and AI model providers). Your use of those platforms is subject to their own terms and policies, and Galvyn is not responsible for their availability, content, or practices.

Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GALVYN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

Indemnification

You agree to defend, indemnify, and hold harmless Galvyn from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.

Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive termination will survive.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Services after changes constitutes acceptance of the updated Terms.
